Tasks of the Presidential Committee
The Presidential Committee is composed of the Chairman and the Vice Chairman of the Board of Directors and is chaired by the Chairman of the Board of Directors. It has the following tasks:
- to ensure the exchange of information with the Managing Director in an advisory capacity.
- monitoring and supervision of corporate governance.
- Supervision of the implementation of the strategy approved by the Board of Directors and of the management’s business activities in accordance with Art. 15 of the Organisational Regulations.
- approving investment limits in accordance with Art. 11 of the Investment Regulations and decisions on measures to be taken if warning limits are passively exceeded in accordance with Art. 5 of the Investment Regulations and on measures to be taken if the list of SNB-eligibility securities is amended in accordance with Art. 12 of the Investment Regulations.
- Making decisions that cannot be postponed within the competence of the Board of Directors in accordance with Art. 6 of the Organizational Regulations.
- Treatment of sustainability issues.
- Approving non-audit services (advisory services) provided by the statutory auditors.
- Reporting to the full Board of Directors.
Tasks of the Cover Pool Committee
The Cover Pool Committee is composed of two members of the Board of Directors who are familiar with the mortgage business. It has the following tasks:
- to ensure the exchange of information with the Managing Director in an advisory capacity.
- verification of cover value of cover objects incl. inspections.
- verification of the existence of legal cover on Pfandbriefe according to Art. 9 fA (serial inspection).
- approval of the “Estimation Regulations Supplements” and “Handbook for the Cover Registrar”.
- reporting to the full Board of Directors.
Further Committees
In view of our simple business model and the tight framework conditions, the tasks relating to nominations, compensation and audit are handled by the full Board of Directors. Sustainability issues are the responsibility of the Chairman’s Committee.
